Jio Platforms, the digital and telecom arm of Reliance Industries, has set the terms for what would be India’s largest initial public offering. The company will sell up to 27 crore new shares at ₹1,065 to ₹1,119 each, raising up to about ₹30,213 crore, with anchor bidding on 19 October and the public issue open from 21 to 23 October. This analysis sets out the terms, why the structure is unusual, what it means for India’s stock market and telecom sector, and the conditions that would shape how the issue fares.

What has been announced

In a 14 October letter to the stock exchanges, Reliance said Jio Platforms’ IPO committee had approved a price band of ₹1,065 to ₹1,119 per share, a minimum bid of 12 shares, and a ₹54-per-share discount for eligible employees. The red herring prospectus was filed with the Registrar of Companies in Gujarat the same day.

HDFC Sky reported that the issue is entirely a fresh issue, with no existing shareholder selling, and that up to ₹500 crore is reserved for employees and up to ₹2,500 crore for eligible Reliance shareholders. The draft prospectus was filed with SEBI on 19 June and the regulator issued its observations on 28 August. Business Today and Tech Times both give 28 October as the expected listing date on the BSE and NSE.

At the top of the band the issue would exceed Hyundai Motor India’s ₹27,870 crore offering of October 2024, the current record, according to Tech Times. Quartz put the raise at up to $3.2 billion.

Why the structure matters

A small float on a very large company

Using about 920.9 crore shares after the issue, HDFC Sky calculated a market value of roughly ₹9.81 lakh crore at the floor and ₹10.30 lakh crore at the cap. The 27 crore new shares are therefore only about 2.9% of the enlarged company. A record-sized IPO is, in proportion, a very small sale. That keeps control firmly with Reliance, which Tech Times reported held 66.43% before the issue; by our calculation, its stake would fall to about 64.5% if the full issue is sold.

Proceeds go to debt, not to sellers

Because there is no offer for sale, the money goes to the company. Tech Times, citing the offer documents and earlier reports, said up to ₹27,500 crore will repay or prepay borrowings at Reliance Jio Infocomm, which had debt of about ₹71,529 crore in March 2026, so the issue would retire roughly 38% of it. BusinessLine quoted Deven Choksey of DRChoksey FinServ as estimating annual interest savings of ₹2,000 to ₹2,500 crore.

Priced below some earlier estimates

At the cap, the valuation of about ₹10.3 lakh crore is roughly $108 billion, according to Tech Times. That is well below the $148 billion that ICICI Securities had estimated for September 2027 in a note reported by Business Standard a year ago. BusinessLine’s headline described the band as below street estimates. A lower starting valuation leaves more room for buyers, but it also resets what existing investors’ stakes are worth on paper.

The business being listed

For 2025-26, BusinessLine reported consolidated net profit of ₹30,064 crore on revenue of about ₹1.49 lakh crore; Tech Times gave revenue from operations of ₹1,46,885 crore, up 14.6%, and an EBITDA margin of about 52%. The small gap appears to reflect different revenue measures. Tech Times also reported 524.4 million mobile subscribers at the end of March and average revenue per user of ₹214 a month in the March quarter.

Business Today summarised brokers’ growth arguments: tariff increases, migration from 2G to 4G and 5G, home broadband and enterprise services. SBI Securities, it reported, put revenue growth at 15.8% a year between FY24 and FY26.

How it affects India and businesses

  • Capital markets: a ₹30,000-crore issue in one week tests how much money domestic funds and retail investors can absorb, and could briefly draw liquidity from other listings. The pipeline is already busy: India IPO reported that Zetwerk’s ₹5,012-crore issue was 31% subscribed on its second day.
  • Strategic investors: Meta and Google each paid ₹488.34 a share in 2020. At the cap, their holdings imply paper gains of about ₹56,272 crore and ₹43,569 crore respectively, India IPO reported, citing the Financial Express. Neither is selling, so the gains are unrealised.
  • Telecom competition: lower debt and interest costs give Jio more financial room on pricing and investment, which matters for rivals such as Bharti Airtel and for any tariff decisions.
  • Reliance shareholders: the listing puts a public market price on a business previously valued only through private deals and broker estimates.

Who is more exposed, and who is less

As general patterns rather than views on any security: borrowers at Reliance Jio Infocomm and the group’s lenders benefit from deleveraging; smaller IPOs scheduled around the same dates face more competition for subscriptions; and index-tracking funds may eventually need to buy the shares if and when the stock qualifies for major indices, which depends on index providers’ rules on free float.

Scenarios to watch

These are conditional scenarios, not predictions.

Scenario What would have to happen Likely direction
Strong reception Heavy anchor and institutional demand; markets stay steady through 23 October Confidence boost for India’s IPO market and other large issuers
Steady but selective Institutions subscribe, retail demand is moderate, other IPOs see thinner books Issue completes; liquidity is diverted from smaller listings for a few weeks
Weak market backdrop Global sell-off, oil spike or heavy foreign selling during the bidding window Pricing pressure towards the lower end of the band and caution for later IPOs

What to watch next

  • The anchor allocation on 19 October and which investors take part.
  • Category-wise subscription data from the exchanges between 21 and 23 October.
  • The final issue price and the listing on 28 October.
  • Any update from Reliance on Jio’s post-issue shareholding and debt repayment.
  • Telecom tariff moves by Jio or its rivals after the listing.

Bottom line

Jio Platforms is raising a record sum by selling a small slice of itself, and using the money to cut debt rather than to pay out existing owners. That makes the deal less about price discovery for early backers and more about strengthening Jio’s balance sheet while giving India’s public market access to one of its largest private businesses. How the issue is received will also be a test of the depth of India’s capital market in a volatile year.

Method: this article compares reporting from HDFC Sky, Business Today, Tech Times, Quartz, BusinessLine (via TradingView), Business Standard and India IPO (citing the Financial Express) with Reliance Industries’ 14 October 2026 stock exchange filing. Where reported revenue figures differed, both are given. The 64.5% post-issue stake is our calculation from reported figures. Scenarios are FutureKnowledge analysis.
